Terms of Service

Please read this Terms of Service Agreement. We provide product services to users through websites, mobile applications and other channels or portals. By accessing and using our services, you agree to the terms and conditions in these Terms of Use ("Terms").

Please note that The Kinnet's Game may modify or revise this Agreement at any time. When The Kinnet's Game modifies or revise this Agreement, The Kinnet's Game will update the above last updated date, and The Kinnet's Game may send an email to the last email address provided by the subscriber to The Kinnet's Gamel.

The Kinnet's Gamee may require the user to agree to the updated Agreement in a specified manner before further use of The Kinnet's Game services. If the service subscriber does not agree to any changes after receiving notice of such changes, the service subscriber must stop using the instant service. Otherwise, the user's continued use of The Kinnet's Game services constitutes his or her acceptance of such changes. Please review this Agreement regularly.

Access and Security Guidelines. Each User will access the Platform under this Agreement using its unique username and password or single sign-on credentials (“Credentials”). Subscriber acknowledges and agrees that: (a) only Users are authorized to access the Platform using their Unique Credentials; (b) it will provide the necessary information and other assistance to enable us to establish access to the Platform for Users and will verify all User requests to access the Platform; (c) it will ensure that each Unique Credential is used only by that User in accessing the Platform; (d) Subscriber is responsible for maintaining the confidentiality of all Users’ Unique Credentials and is fully responsible for all activities that occur under those User accounts; (e) Subscriber will promptly notify Subscriber of any actual or suspected unauthorized use of any account, Credentials, or any other breach or suspected breach of this Agreement; and (f) Subscriber and Subscriber shall only provide IDE data, information or content that is accurate, complete and current.

The Kinnet’s Game reserves the right to suspend, disable or terminate any User’s access to the Platform if it immediately and reasonably determines that it may have been used by an unauthorized third party.

Unique Credentials may not be shared or used by more than one individual User to access the Platform.

Restrictions. The User shall not, and shall ensure that its Users shall not: (a) allow any third party to access the Platform or Instant Services, except as expressly permitted by this Agreement; (b) modify, adapt, alter or translate the Platform or Instant Services; (c) sublicense, lease, sell, resell, rent, loan, distribute, transfer or otherwise allow the use of the Platform or Instant Services for the benefit of any unauthorized third party; (d) reverse engineer, decompile, disassemble or otherwise derive or determine or attempt to derive or determine the source code (or underlying ideas, algorithms, structure or organization) of the Platform or The Kinnet's Game Services, unless permitted by law; (e) interfere in any way with the operation of the Platform, Instant Services or the hardware and networks used to run the Services, or attempt to probe, scan or test the vulnerabilities of the Platform; (f) modify, copy or create derivative works based on any part of the Platform or The Kinnet's Game-Service; (g) access or use the Platform or The Kinnet's Game Service to build a similar or competitive product or service, or otherwise engage in competitive analysis or benchmarking; (h) attempt to access the Platform through any unapproved interface; (i) remove, alter or obscure any proprietary notices (including copyright and trademark notices) of The Kinnet's Game or its licensors on the Platform or The Kinnet's Gamel Services or any copies thereof; (j) send promotional emails on behalf of third parties; or (k) use the Platform or the Instant Services in a manner that exceeds the use permitted by Section 4.1 or is inconsistent with this Agreement (including the Technical Specification Addendum and the Delivery Policy) or applicable law, including, but not limited to, the Telephone Consumer Protection Act (TCPA). The Kinnet's Game reserves the right to suspend a user's access to the Platform and The Kinnet's Game Services for failure or suspected failure to comply with the foregoing conditions.

Ownership.

All Confidential Information disclosed by the Disclosing Party shall at all times remain the property of the Disclosing Party. The Disclosing Party retains all rights in its Confidential Information. Nothing in this Agreement or the disclosure contemplated by this Agreement shall transfer or grant any intellectual property rights in the Confidential Information (except for the limited right of use set forth above).

Legal Disclosure.

Either party may disclose Confidential Information to the extent required by law, provided that the receiving party shall give the disclosing party reasonable advance notice of such disclosure requirement and cooperate with the disclosing party so that the disclosing party has the opportunity to properly treat such Confidential Information in confidence.

Disclaimer.

To the maximum extent permitted by applicable law: (A) The Kinnet's Game Services, The Kinnet's Game Platform, and Documentation are provided on an "as is" and "as available" basis, and (B) The Kinnet's Game and its suppliers make no other warranties, express or implied, by operation of law or otherwise, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. In the event of an interruption of The Kinnet's Game Services, The Kinnet's Game does not guarantee any minimum service uptime during the recovery process. In addition, The Kinnet's Game does not guarantee a minimum uptime of The Kinnet's Game Services at any point in time when Subscriber is using The Kinnet's Game Services, nor does it guarantee that all emails will be processed and delivered by The Kinnet's Game. Without limiting the generality of the foregoing disclaimer, The Kinnet's Game recommends that Subscribers and Users refer to the Technical Specifications Appendix for specific limitations on the performance of The Kinnet's Game Services and output delivered to Subscribers or Users.

Third Party Service Providers. The Kinnet's Gamel Services, The Kinnet's Gamel Platform and Documentation (including communications with The Kinnet's Gamel customer support team) may include links to third-party websites and services ("Third-Party Links") or information about third-party service providers that The Kinnet's Gamel believes may be of interest to its subscribers ("Third-Party Providers"). These Third-Party Links or references to Third-Party Providers do not constitute an endorsement, tutor recommendation (implicit or otherwise) of any listed provider or link. Each Third-Party Provider listed and Third-Party Links provided are independent of The Kinnet's Gamel and are not under the control of The Kinnet's Gamel. The Kinnet's Gamel shall not be responsible for the actions of Third-Party Providers or for reliance on any information from or about such Third-Party Providers. Users should make their own independent evaluation before doing business with any Third-Party Provider or relying on any such information provided by such Third-Party Provider.

Assignment.

Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, and any assignment or transfer that derogates from the foregoing shall be void, provided that either party shall have the right to assign this Agreement without the prior written consent of the other party, To the successor entity in the event of a merger, corporate reorganization, or sale of all or substantially all of the assets of the successor party to which this Agreement relates. This Agreement shall be binding upon the parties and their respective successors and permitted assigns.
